Photo Licensing Agreement — Marissa Photography

This Photo Licensing Agreement (“Agreement”) is between Marissa Photography (“Photographer”) and any individual or business (“Client”) who receives written permission or a written license to use specific images created by the Photographer.

By requesting, purchasing, downloading, or using any licensed image from Marissa Photography, you agree to the terms below.

1. Copyright Ownership

All photographs displayed on marissaphotography.ca or provided directly by the Photographer are the exclusive property and copyrighted work of Marissa Photography.

Copyright is not transferred under any circumstances. The Client receives usage rights only, and only when granted in writing.

2. Website Images Are Not Licensed

All images displayed on the Website are for portfolio display only.

Unless the Client has a separate written licensing agreement, the following applies:

  • No downloading
  • No saving
  • No screenshots
  • No sharing
  • No printing
  • No reposting
  • No personal use
  • No commercial use

Any use of Website images without written permission is strictly prohibited and constitutes copyright infringement.

3. Licensing Only Through Written Agreement

A license to use any image is granted only when:

  • A written licensing agreement is signed by both parties
  • The specific images being licensed are identified
  • The permitted usage is clearly defined
  • Payment is received (if applicable)

No verbal, implied, or assumed license exists.

4. Types of Licenses

Licenses may be granted for specific purposes. Each license must be explicitly stated in writing.

4.1 Personal Use License (Only if granted in writing)

Allows the Client to use the licensed image(s) for:

  • Personal display
  • Personal printing
  • Personal projects

Not permitted under Personal Use:

  • Business use
  • Social media use
  • Advertising
  • Resale
  • Commercial gain

4.2 Commercial Use License (Only if granted in writing)

Allows the Client to use the licensed image(s) for:

  • Business websites
  • Marketing materials
  • Social media for business
  • Print or digital advertising
  • Branding or promotional materials

Commercial License does NOT allow:

  • Resale of the image
  • Transfer or sublicensing
  • Use in logos or trademarks unless explicitly approved
  • Use in AI training datasets
  • Use in NFTs or blockchain projects

5. Social Media Use

Social media use is not permitted unless explicitly granted in writing.

If granted, the Client must:

  • Use the image only as permitted
  • Not alter the image in a misleading or harmful way
  • Not remove watermarks or metadata

Photographer credit is appreciated but not required unless specified.

6. Editing & Modifications

Unless explicitly permitted in writing:

  • Basic edits (cropping, minor colour adjustments) may be allowed
  • Major edits (compositing, altering subjects, removing watermarks) are prohibited
  • Images may not be altered in a way that misrepresents the Photographer’s work

7. Prohibited Uses

The Client may not:

  • Use any Website images without written permission
  • Claim authorship of the image
  • Sell or sublicense the image
  • Use the image in harmful, defamatory, or illegal contexts
  • Use the image in AI training, datasets, or machine‑learning systems
  • Use the image for NFTs or blockchain projects
  • Remove watermarks or copyright notices

Unauthorized use may result in legal action.

8. Duration of License

Unless otherwise stated in writing:

  • Licenses are perpetual for the original Client
  • Licenses are non‑transferable
  • Licenses apply only to the specific permitted use

9. Revocation of License

The Photographer may revoke a license if:

  • The Client violates any terms
  • The image is used outside the permitted scope
  • The image is used in harmful, defamatory, or illegal ways

Upon revocation, the Client must immediately stop using the image and delete all copies.

10. Liability

The Photographer is not liable for:

  • Losses or damages resulting from use of the images
  • Claims arising from misuse or unauthorized use
  • Issues caused by third‑party printing or distribution services

The Client is responsible for ensuring their use complies with all applicable laws.

11. Payment & Delivery

Licenses are granted only after:

  • Full payment is received (if applicable)
  • A written agreement is signed

Digital files are delivered electronically unless otherwise arranged.

12. No Refunds

Due to the digital nature of photography files, all sales and licenses are final and non‑refundable.

13. Governing Law

This Agreement is governed by the laws of Ontario, Canada.
